Headings and titles are included for convenience only and shall not be used to interpret or construe the meaning of this Agreement.\u003C/p>\n\u003Ch3>Section 1: Your Agreement with Us (Introduction)\u003C/h3>\n\u003Cp>\u003Cstrong>Welcome to Stuart!\u003C/strong> This document sets out the rules (called the \u003Cstrong>\"Agreement\"\u003C/strong>) that govern how we will work together.\u003C/p>\n\u003Cp>Where any obligation in this Agreement refers to statutory checks, identity verification, or legal compliance, you and your Substitute agree to comply with the specific operational requirements set out herein, as well as any updated standards, frequencies, or procedures required by applicable UK law or government codes of practice from time to time.\u003C/p>\n\u003Ch4>1. The Relationship\u003C/h4>\n\u003Cp>1.1. \u003Cstrong>Stuart's Role:\u003C/strong> Stuart's main role is to offer delivery services for goods to our customers (who we call \u003Cstrong>\"Clients\"\u003C/strong>) and to provide a logistics platform that provides Independent Couriers with delivery opportunities and enables the Clients to manage and oversee their deliveries.\u003C/p>\n\u003Cp>1.2. \u003Cstrong>How You Fit In:\u003C/strong> To carry out these deliveries for our Clients, Stuart engages you, the \u003Cstrong>Independent Courier\u003C/strong>. You confirm that you are running your own business and are fully independent of Stuart.\u003C/p>\n\u003Cp>1.3. \u003Cstrong>Licence:\u003C/strong> We also give you a licence to use our technology, the Stuart app (the \u003Cstrong>\"Application\"\u003C/strong>) to make these deliveries happen.\u003C/p>\n\u003Cp>1.4. \u003Cstrong>The Contract:\u003C/strong> This Agreement defines the rules for your use of the Application and how you carry out Deliveries of Goods. \u003Cstrong>Important:\u003C/strong> Your contract for performing the delivery work is \u003Cstrong>only with Stuart\u003C/strong>. You \u003Cstrong>do not\u003C/strong> have a contract or any direct relationship with Stuart's Clients. You shall not represent or hold yourself (or your Substitute) out as an employee, worker, agent, or representative of any Client.\u003C/p>\n\u003Cp>1.5. \u003Cstrong>Your Autonomy:\u003C/strong> We trust your professional judgement. Stuart will \u003Cstrong>not supervise, direct, or control\u003C/strong> how you manage or complete a delivery. You are responsible for deciding the best way to do the work as long as it's in accordance with this Agreement.\u003C/p>\n\u003Ch3>Section 2: Key Words Explained (Definitions)\u003C/h3>\n\u003Cp>To help you understand this Agreement, we have defined key terms below:\u003C/p>\n\u003Ctable border=\"1\" cellpadding=\"6\" cellspacing=\"0\">\n\u003Cthead>\n\u003Ctr>\n\u003Cth>Word\u003C/th>\n\u003Cth>What it Means\u003C/th>\n\u003C/tr>\n\u003C/thead>\n\u003Ctbody>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Account / Sub-Account\u003C/strong>\u003C/td>\n\u003Ctd>The private profile accessible via the Application using unique Login Information. The \"Account\" belongs to the Independent Courier, under which a verified Substitute may be granted a linked \"Sub-Account\".\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Agreement\u003C/strong>\u003C/td>\n\u003Ctd>These terms and conditions, which may be updated by Stuart from time to time.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Application\u003C/strong>\u003C/td>\n\u003Ctd>Stuart's proprietary software (mobile app or web tool) that we license to you. You use it to find, manage, and track your deliveries.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Client(s)\u003C/strong>\u003C/td>\n\u003Ctd>The customers who have paid Stuart to have their items delivered.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Collection Address\u003C/strong>\u003C/td>\n\u003Ctd>The address provided by the Client in the Application for the Goods to be collected as part of a Delivery Request.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Delivery Address\u003C/strong>\u003C/td>\n\u003Ctd>The address entered by the Client in the Application as the location where the Goods are to be delivered.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Deliveries of Goods, Deliveries\u003C/strong>\u003C/td>\n\u003Ctd>The full process of collecting, transporting, and dropping off the items, as arranged via the Application.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Delivery Request\u003C/strong>\u003C/td>\n\u003Ctd>A request submitted by a Client through the Application for the Delivery of Goods.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Force Majeure Event\u003C/strong>\u003C/td>\n\u003Ctd>Any event beyond Stuart's or your reasonable control that prevents or delays performance, including natural disasters, pandemics, war or civil unrest, government actions, industrial disputes not caused by Stuart or you, failures of suppliers or utilities, and any other third-party event that materially impacts your ability to deliver Goods.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Goods\u003C/strong>\u003C/td>\n\u003Ctd>The items or packages that you are asked to transport.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Independent Courier\u003C/strong>\u003C/td>\n\u003Ctd>You, the independent contractor, who has agreed to this Agreement with Stuart.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Login Information\u003C/strong>\u003C/td>\n\u003Ctd>The unique credentials (e.g., username, password, or authentication tokens) issued separately by Stuart to the Independent Courier for their primary Account, or to a verified Substitute for their linked Sub-Account, to access the Application.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Method of Transport\u003C/strong>\u003C/td>\n\u003Ctd>The method(s) used by you, the Independent Courier, to carry the Goods for the purpose of performing a Delivery of Goods, namely: (i) transport by bicycle or electric bicycle; (ii) transport by moped, moped scooter, motorbike, or electric motorbike; or (iii) transport by a land motor or electric vehicle with an authorised gross weight of under 3.5 tonnes (including cars, commercial vehicles, or vans); each of which is referred to in this Agreement as a Vehicle or Vehicles.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Recipient(s)\u003C/strong>\u003C/td>\n\u003Ctd>The person identified by the Client in the Application to receive the Goods, including any employee, worker, contractor, agent, or representative of a business, who is at the Delivery Address or, where applicable, in a nearby area indicated by the Client.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Stuart\u003C/strong>\u003C/td>\n\u003Ctd>Stuart Delivery Ltd registered in England and Wales with company number 09790251 whose registered office is at 6th Floor 2 London Wall Place, Barbican, London, United Kingdom, EC2Y 5AU. Customer service email: \u003Ca href=\"mailto:support.uk@stuart.com\">support.uk@stuart.com\u003C/a>.\u003C/td>\n\u003C/tr>\n\u003Ctr>\n\u003Ctd>\u003Cstrong>Substitute\u003C/strong>\u003C/td>\n\u003Ctd>Any suitable and qualified third-party worker you lawfully engage to carry out the Deliveries of Goods on your behalf, as permitted by this Agreement.\u003C/td>\n\u003C/tr>\n\u003C/tbody>\n\u003C/table>\n\u003Ch3>Section 3: Your Status and Business Responsibilities\u003C/h3>\n\u003Cp>This section makes it clear that you are an independent business and sets out what that means for both you and Stuart.\u003C/p>\n\u003Ch4>3.1. Your Status as an Independent Contractor\u003C/h4>\n\u003Cp>3.1.1. \u003Cstrong>Self-Employed Status:\u003C/strong> You confirm that you are entering into this Agreement as a self-employed independent contractor in business on your own account. This Agreement is \u003Cstrong>not\u003C/strong> a contract of employment.\u003C/p>\n\u003Cp>3.1.2. \u003Cstrong>No Obligation to Offer or Accept Work (No Mutuality of Obligation):\u003C/strong>\u003C/p>\n\u003Cp>(a) Stuart is \u003Cstrong>never obliged to offer you any Deliveries of Goods\u003C/strong> through the Application.\u003Cbr>(b) You are \u003Cstrong>never obliged to accept\u003C/strong> any Deliveries of Goods offered to you through the Application. You are entirely free to choose which, if any, deliveries you take.\u003C/p>\n\u003Cp>3.1.3. \u003Cstrong>Freedom to Work for Others:\u003C/strong> You are completely free to provide services, deliveries, or work for any other person or company (including competitors of Stuart) at any time, provided that while actively executing an accepted Delivery of Goods for Stuart, you shall not concurrently collect or deliver goods for any third-party platform or service ('multi-apping').\u003C/p>\n\u003Ch4>3.2. Substitution Rights, Identity Verification, and Statutory Controls\u003C/h4>\n\u003Cp>3.2.1. \u003Cstrong>Your Right to Use a Substitute:\u003C/strong> You have the right to arrange for a Substitute to perform any or all of the Deliveries of Goods on your behalf without requiring prior subjective approval or an interview by Stuart. You retain sole commercial discretion over the selection, engagement, and remuneration of your Substitute. This right is subject strictly to your Substitute satisfying the objective statutory Right to Work, identity, and background verification standards set out in Clauses 3.2.2 to 3.2.5. A Substitute engaged by you is strictly prohibited from further delegating, subcontracting, or transferring the performance of any Delivery of Goods to any fourth party ('sub-substitution'), in accordance with Home Office statutory requirements prohibiting the delegation of Right to Work verification responsibilities to individual contractors.\u003C/p>\n\u003Cp>3.2.2. You must ensure your Substitute is aged 18 or over, holds the correct Vehicle licence and insurance, and possesses a full and current driving licence (if applicable). The Substitute must successfully complete all initial identity and statutory Right to Work checks in accordance with applicable law, as well as background checks (including criminal record checks) required under Stuart's platform safety standards, administered directly by Stuart (or its nominated verification providers) prior to being granted access to a Sub-Account or performing any Deliveries. For the avoidance of doubt, Stuart evaluates all background checks directly; you shall not receive, inspect, or process criminal record data relating to any Substitute. Furthermore, you must ensure the Substitute is not an individual whose Account or Sub-Account has been suspended or previously terminated by Stuart.\u003C/p>\n\u003Cp>3.2.3. \u003Cstrong>Verification of Eligibility, Right to Work, and Background Checks:\u003C/strong> To comply with mandatory obligations under UK immigration legislation and Home Office guidance, Stuart utilizes certified Identity Service Providers (IDSPs) and nominated verification providers to perform initial digital identity and Right to Work (RTW) checks, as well as ongoing statutory RTW re-verifications (such as share code renewals) and periodic identity checks, on all Independent Couriers and Substitutes. Stuart's role in this process is strictly limited to administering these statutory immigration checks. In addition, for objective public safety reasons, Stuart requires both you and your Substitute to complete a basic criminal record check (DBS or equivalent).\u003C/p>\n\u003Cp>3.2.4. \u003Cstrong>Ongoing compliance:\u003C/strong> To maintain ongoing statutory identity verification standards and establish a statutory excuse under Home Office guidance, both you and your Substitute agree to submit to periodic identity re-verification (such as digital facial recognition via the Application or an equivalent statutory verification method provided by Stuart) prior to or during any shift or period of delivery activity, or at least once every 24 hours of delivery activity as prescribed by the Home Office Code of Practice on Preventing Illegal Working, or as required by applicable law. Such re-verification may involve digital facial recognition, liveness verification, or facial image matching administered by Stuart's certified verification providers, or an equivalent non-biometric verification method provided by Stuart upon request. All personal data, including any biometric data or identity documentation processed during verification checks, is collected and handled in accordance with applicable Data Protection Legislation and Stuart's Privacy Policy (as updated by Stuart from time to time on its website or Application).\u003C/p>\n\u003Cp>3.2.5. Neither you nor your Substitute are permitted to access the Application, accept Delivery Requests, or execute Deliveries of Goods until Stuart confirms successful completion of RTW, criminal, and identity checks. For security, regulatory, and operational reasons, only one individual – either you on your primary Account or your verified Substitute via their Sub-Account – may be logged in, active, or executing Deliveries of Goods at any given time. Stuart reserves the right to decline, suspend, or revoke access for any Independent Courier or Substitute who breaches these concurrency rules or fails to satisfy initial or ongoing RTW re-verifications, background checks, compliance audit, or provides fraudulent documentation. Stuart reserves the right to audit your compliance with the obligations listed in Clauses 3.2.1 to 3.2.5, including verifying that any individual executing Deliveries on your behalf is a verified Substitute operating via an active Sub-Account.\u003C/p>\n\u003Cp>3.2.6. \u003Cstrong>Cooperation with Regulatory Investigations and Client Investigations:\u003C/strong> You agree to cooperate reasonably with Stuart in relation to any Home Office, regulatory, legal, or Client compliance investigation (concerning illegal working, theft, damaged goods, failed delivery, or misconduct), including providing relevant written statements or records within 48 hours (or such other reasonable timeframe requested by Stuart depending on the urgency of the statutory matter).\u003C/p>\n\u003Cp>3.2.7. \u003Cstrong>Non-Discrimination:\u003C/strong> Right to Work, background checks, identity verification processes and compliance audits are conducted consistently and objectively across all prospective and existing Independent Couriers and Substitutes, regardless of race, nationality, ethnic origin, or perceived immigration status, in strict compliance with applicable statutory equality laws.\u003C/p>\n\u003Ch4>3.3. Your Business Costs, Financial Risk and Responsibility\u003C/h4>\n\u003Cp>3.3.1. \u003Cstrong>Business Costs and Legal Compliance:\u003C/strong> As a self-employed business, you are solely responsible for all costs and expenses related to your business and the Deliveries of Goods, including Vehicle maintenance, fuel, insurance, tax, and National Insurance Contributions (NICs). You warrant and agree that you and your Substitute shall comply with all terms of this Agreement, applicable laws and regulations in the performance of your business and Deliveries of Goods (including tax, data protection, modern slavery, corporate crime prevention, anti-bribery, and highway regulations).\u003C/p>\n\u003Cp>3.3.2. \u003Cstrong>Financial Risk:\u003C/strong> The agreed fee for each Delivery of Goods is fixed. If the delivery takes you longer than you expect due to unforeseen circumstances, the fee will not increase.\u003C/p>\n\u003Cp>3.3.3. For all legal and contractual purposes, all acts, omissions, breaches, or defaults of your Substitute shall be deemed to be your acts, omissions, breaches, or defaults.\u003C/p>\n\u003Ch3>Section 4: Licence to Use the Application\u003C/h3>\n\u003Cp>This section explains your right to use the Application and the rules for its use.\u003C/p>\n\u003Ch4>4.1. Grant of Licence\u003C/h4>\n\u003Cp>4.1.1. \u003Cstrong>The Licence:\u003C/strong> Stuart grants you a limited, non-exclusive, non-transferable, and revocable licence to use the Application solely for the purpose of receiving, accepting, and performing Deliveries of Goods under this Agreement in the United Kingdom.\u003C/p>\n\u003Cp>4.1.2. \u003Cstrong>No Ownership:\u003C/strong> You acknowledge that you are only being given the right to use the Application. You do not own the Application, its software, or any of Stuart's technology or intellectual property.\u003C/p>\n\u003Ch4>4.2. Rules for Use\u003C/h4>\n\u003Cp>4.2.1. \u003Cstrong>Account and Information:\u003C/strong> You must provide accurate, complete, and up-to-date information when registering, including evidence of your identity, Right to Work in the UK, criminal record/background check clearance, Vehicle documentation, and insurance. You must notify Stuart immediately if your Right to Work status, background clearance, or that of your Substitute, changes or expires.\u003C/p>\n\u003Cp>4.2.2. You must not share your personal Login Information, use automated software, or attempt to disrupt the Application. You shall not transfer, sub-licence, or share your primary Account login credentials with any third party. When you engage a Substitute under Clause 3.2.1, such Substitute must complete Stuart's onboarding verification to receive their own unique credentials for a linked Sub-Account prior to accepting Delivery Requests. You and your Substitute are strictly prohibited from using the Application or accepting Delivery Requests concurrently.\u003C/p>\n\u003Cp>4.2.3. \u003Cstrong>Restriction and Suspension:\u003C/strong> Stuart may temporarily or permanently restrict, suspend, or un-pair your access to the Application, or to Delivery Requests originating from specific Clients or Collection Addresses, if you breach this Agreement, fail to meet required onboarding or eligibility conditions (e.g., failing background checks or lacking valid Right to Work documents for you or your Substitute), fail statutory or regulatory audits (such as age-verification), commit suspected misconduct, receive serious customer complaints, or upon a specific security request from a Client, pending investigation.\u003C/p>\n\u003Cp>4.2.4. \u003Cstrong>Fraudulent Activity and Phantom Deliveries:\u003C/strong> You and your Substitute are strictly prohibited from engaging in any fraudulent, deceptive, or manipulative behavior regarding the Application, Delivery Requests, or Fee generation. Without limiting the generality of the foregoing, prohibited conduct includes:\u003C/p>\n\u003Cp>(a) \u003Cstrong>Fake or Fabricated Orders:\u003C/strong> creating, soliciting, colluding with third parties to generate, or accepting synthetic, false, or non-existent Delivery Requests;\u003Cbr>(b) \u003Cstrong>False Completion:\u003C/strong> mark, flag, or report a Delivery of Goods (or any stage of a delivery) as collected, arrived, completed, or returned in the Application without having physically collected, transported, and delivered the actual Goods to the designated Recipient or Collection Address;\u003Cbr>(c) \u003Cstrong>Location and App Manipulation:\u003C/strong> using location-spoofing software, emulators, automated tools, bots, virtual private networks (VPNs) designed to obfuscate true location, or manipulating GPS data to simulate physical presence at a Collection Address or Delivery Address;\u003Cbr>(d) \u003Cstrong>Unearned Fee Harvesting:\u003C/strong> attempting to trigger, claim, or accumulate Fees, Waiting Fees, Incentive Payments, or cancellation compensations through false, fraudulent, or artificial means.\u003C/p>\n\u003Ch3>Section 5: Payment Terms\u003C/h3>\n\u003Cp>This section details how and when Stuart will pay you for the Deliveries of Goods you successfully complete.\u003C/p>\n\u003Ch4>5.1. Fee Structure\u003C/h4>\n\u003Cp>5.1.1. \u003Cstrong>Fees:\u003C/strong> The fee will be calculated and communicated to you before you accept the Delivery of Goods (Fees). Your acceptance confirms that the fee is sufficient to cover all your underlying business costs.\u003C/p>\n\u003Cp>5.1.2. \u003Cstrong>Additional Payments:\u003C/strong> In addition to the Delivery Fee, you may also receive incentives to perform Deliveries of Goods (Incentive Payments) and a Waiting Fee for time spent waiting at the Collection Address (under conditions communicated to you). Incentive Payments shall be at the discretion of Stuart and the eligibility conditions therefore shall be communicated to the Independent Couriers by Stuart from time to time.\u003C/p>\n\u003Cp>5.1.3. Stuart shall pay all agreed Fees solely to you, and you bear sole responsibility for remunerating your Substitute.\u003C/p>\n\u003Ch4>5.2. Payment Process and Billing\u003C/h4>\n\u003Cp>5.2.1. \u003Cstrong>Successful Completion:\u003C/strong> Stuart will pay the agreed Fees upon the successful completion of the Delivery of Goods.\u003C/p>\n\u003Cp>5.2.2. \u003Cstrong>Payment Schedule:\u003C/strong> Payments will be made directly to your nominated bank account on a weekly basis.\u003C/p>\n\u003Cp>5.2.3. \u003Cstrong>Tax Responsibility:\u003C/strong> You retain full liability for your legal and tax obligations (including a self-assessment tax return and any obligation to collect VAT). Stuart is not responsible for advising you on tax matters or for any penalties resulting from incorrect information or non-compliance.\u003C/p>\n\u003Ch4>5.3. Deductions, Clawbacks, and Fraud Recovery\u003C/h4>\n\u003Cp>5.3.1. Stuart reserves the right to withhold, set off, or deduct from any current or future payments owed to you:\u003C/p>\n\u003Cp>(a) any amounts you owe to Stuart under this Agreement (including liability for lost or damaged Goods); and\u003Cbr>(b) any Fees, Waiting Fees, or Incentive Payments paid or credited to you as a result of fraudulent, manipulated, simulated, or uncompleted Deliveries of Goods (as defined in Clause 4.2.4).\u003C/p>\n\u003Cp>5.3.2. In the event of suspected fraudulent delivery activity (under Clause 4.2.4), Stuart reserves the right to temporarily freeze payment payouts pending internal investigation. If fraud is confirmed, all Fees, Waiting Fees, or Incentive Payments generated by or linked to such fraudulent, simulated, or manipulated activity shall be permanently forfeited, without prejudice to Stuart's right to set off valid claims or pursue legal remedies for direct losses incurred.\u003C/p>\n\u003Ch3>Section 6: Acceptance and Changes to this Agreement\u003C/h3>\n\u003Cp>This section explains how this Agreement is officially formed and how we will tell you if the rules change.\u003C/p>\n\u003Ch4>6.1. Forming the Contract (Acceptance)\u003C/h4>\n\u003Cp>6.1.1. To use the Application and perform Deliveries of Goods for Stuart, you must:\u003C/p>\n\u003Cp>(a) have a compatible Device; a “Device” means any mobile or other device (smartphone, PC, tablet, etc.) with an internet connection, an operating camera, and the ability to download, install, use, or integrate the Application and access its features;\u003Cbr>(b) register via the Application by following the on-screen instructions;\u003Cbr>(c) provide all requested credentials and information before being able to execute Deliveries of Goods. This includes evidence of identity confirming you are 18 or over, Right to Work in the UK, criminal record/background check verification, and right to operate the Vehicle (including vehicle and hire & reward insurance certification and a full and current driving licence, as applicable). You must also provide VAT status, and any other evidence required to comply with legal or regulatory requirements. You warrant and represent that all documentation provided is truthful, accurate, and not misleading. You must promptly update this information in the event of any change (including changes to your Method of Transport) in accordance with the process notified by Stuart.\u003Cbr>(d) formally accept this Agreement by confirming your acceptance through the electronic interface provided when creating your Account. Such confirmation signifies that you have read, understood, and agreed to all the terms without modification. You must accept the Agreement without making any changes.\u003C/p>\n\u003Ch4>6.2. Changes to the Agreement\u003C/h4>\n\u003Cp>6.2.1. \u003Cstrong>Stuart's Right to Change:\u003C/strong> Stuart reserves the right to make changes to this Agreement at any time.\u003C/p>\n\u003Cp>6.2.2. \u003Cstrong>When Changes Take Effect:\u003C/strong> Changes take effect immediately once the amended version is made available. You must accept the amended Agreement to continue using the Services.\u003C/p>\n\u003Cp>6.2.3. \u003Cstrong>Notification:\u003C/strong> If the change requires a new procedure, Stuart will inform you in advance by email. If you object to a change, you must stop using the Application and performing Deliveries of Goods.\u003C/p>\n\u003Ch3>Section 7: The Delivery Process and Prerequisites\u003C/h3>\n\u003Cp>This section explains the basic rules and service quality standards you should ensure to follow when carrying out Deliveries of Goods.\u003C/p>\n\u003Ch4>7.1. Excluded Goods (What You Cannot Carry)\u003C/h4>\n\u003Cp>7.1.1. You must never accept or transport the following types of items for a Delivery of Goods. Accepting these items is a serious breach of this Agreement:\u003C/p>\n\u003Cp>(a) \u003Cstrong>Dangerous/Illegal Items:\u003C/strong> Explosives, weapons, illegal drugs, or any items restricted by law (e.g., alcohol to minors).\u003Cbr>(b) \u003Cstrong>High-Value/Specialist Items:\u003C/strong> Jewellery, money, banknotes, payment methods, or regulated materials (e.g., certain chemicals).\u003Cbr>(c) \u003Cstrong>People and Animals:\u003C/strong> Living or deceased humans or animals.\u003Cbr>(d) \u003Cstrong>Hazardous Materials:\u003C/strong> Goods containing regulated toxic materials like asbestos or lead.\u003C/p>\n\u003Ch4>7.2. Delivery Requirements and Professional Conduct\u003C/h4>\n\u003Cp>7.2.1. You (and any Substitute you use) agree to maintain professional standards when carrying out Deliveries of Goods, taking into account any delivery parameters or instructions provided by the Client via the Application (such as gate codes or drop-off locations) or communicated by Stuart. Where required by a Client via the Application (such as for specific retail or grocery orders), you (and your Substitute) agree to complete mandatory proof-of-delivery procedures, including validating customer PIN codes, obtaining digital signatures, or scanning barcodes as instructed in the Application prior to completing the Delivery Request.\u003C/p>\n\u003Cp>7.2.2. You (and any Substitute) acknowledge that executing Deliveries of Goods safely requires the ability to comprehend Client pickup/delivery instructions displayed in the Application and communicate effectively with Recipients at drop-off locations.\u003C/p>\n\u003Cp>7.2.3. \u003Cstrong>Method of Transport and Equipment:\u003C/strong> You must use one Method of Transport of your choosing that is legally compliant (MOT, tax, insurance), and maintained in good, roadworthy condition. You are responsible for procuring and maintaining, at your own expense, all necessary transport and commercial delivery equipment required to safely execute accepted Deliveries of Goods in compliance with applicable laws (including food safety, thermal hygiene, and cold-chain regulations). Where accepting Delivery Requests involving temperature-sensitive Goods (such as hot or chilled food), you warrant that you (and any Substitute) will utilize clean, food-grade thermal insulation equipment that maintains appropriate food hygiene standards necessary to comply with applicable UK food safety and hygiene regulations. Collection Addresses or Clients may decline to hand over temperature-sensitive Goods if equipment fails to meet mandatory statutory food hygiene standards.\u003C/p>\n\u003Cp>7.2.4. You must promptly notify Stuart of any changes to your Method of Transport, license, or mandatory insurance documentation, as these are necessary conditions for accepting Delivery Requests on the Application. This notification is essential to ensure that you are offered Delivery Requests suitable for your specific Vehicle type and capacity, particularly regarding large or heavy items. Failure to provide accurate and up-to-date information may result in you being offered Delivery Requests that you are unable to perform or accommodate. In the event that you are unable to complete a Delivery Request due to arriving at a Collection Address with a Method of Transport that differs from your recorded Vehicle or fails to meet the capacity/equipment specifications required for the Goods, the Delivery Request shall be cancelled and re-allocated. In such circumstances, no Delivery Fee or Waiting Fee shall accrue or be payable for that Request, as the service was not completed due to Vehicle/equipment incompatibility.\u003C/p>\n\u003Cp>7.2.5. \u003Cstrong>Professional Standards:\u003C/strong> You (and any Substitute) must conduct Deliveries of Goods with the highest professional skill and diligence, ensuring the Goods are protected from damage or loss and that all interactions with Clients and Recipients are professional.\u003C/p>\n\u003Cp>7.2.6. \u003Cstrong>Autonomy over Work:\u003C/strong> You are not required to log in or make yourself available at any time. When you choose to make yourself available on the Application, you must activate geolocation to receive Delivery Requests. You retain the absolute right to accept or refuse any Delivery Request presented to you within the time period displayed in the Application before the request times out, with no negative consequence for refusal.\u003C/p>\n\u003Cp>7.2.7. \u003Cstrong>Age-Restricted and Regulated Goods:\u003C/strong> You must complete all required training and strictly comply with all age verification, customer identity checks, statutory hand-off protocols, and legal requirements applicable to the delivery of age-restricted or regulated Goods. Compliance is a personal legal obligation for which you may be held individually liable. Furthermore, strict adherence is essential to ensure that Stuart and its Clients maintain their statutory licences, authorisations, and regulatory approvals to sell, distribute, or transport such items. Any failure to perform these checks or follow mandatory delivery protocols correctly poses a direct risk to these licences and authorisations and may result in the immediate suspension or termination of your access to the Application.\u003C/p>\n\u003Cp>7.2.8. \u003Cstrong>Physical Condition:\u003C/strong> You are responsible for ensuring your physical and psychological fitness to safely and competently execute the Deliveries of Goods when you declare yourself available.\u003C/p>\n\u003Ch4>7.3. Cancelling a Delivery (Your Right)\u003C/h4>\n\u003Cp>7.3.1. \u003Cstrong>Discretionary Cancellation:\u003C/strong> You may cancel an accepted Delivery of Goods for any business reason through the Application. Stuart plays no part in your decision to cancel the job, and Stuart will not intervene in your exercise of this business judgment. However, any such cancellation must be performed in accordance with the procedures set out in the Application and remains subject to the provisions regarding payment eligibility set out in Clauses 5.2.1, 7.2.4, 7.3.2 and 7.3.3.\u003C/p>\n\u003Cp>7.3.2. \u003Cstrong>Non-Collection Payment:\u003C/strong> If you arrive at the Collection Address and have waited for more than 15 minutes (“Waiting Time”), you may request the cancellation of the Delivery of Goods. If the Delivery is cancelled following your request, Stuart will pay you a fee as compensation for your committed business time, as communicated via the Application.\u003C/p>\n\u003Cp>7.3.3. \u003Cstrong>Force Majeure Event:\u003C/strong> If you cancel a Delivery of Goods due to a Force Majeure Event, you must notify Stuart immediately. In this specific case, Stuart will ensure no fees are charged to the Client, and no Fee, Waiting Fee, or other compensation shall accrue or be payable to you for that uncompleted Delivery Request.\u003C/p>\n\u003Ch4>7.4. What Happens After Delivery (Damaged or Lost Goods)\u003C/h4>\n\u003Cp>7.4.1. \u003Cstrong>Your Liability for Goods:\u003C/strong> If Goods are lost, stolen, materially damaged, or destroyed during the Delivery of Goods due to your acts or omissions (or those of your Substitute), you are liable to Stuart for the value of the Goods.\u003C/p>\n\u003Cp>7.4.2. \u003Cstrong>Exemptions:\u003C/strong> You are not liable for loss or damage resulting from factors outside your control, such as a Force Majeure Event, fault of the Client/Recipient, inherent defect of the Goods, or insufficient packaging.\u003C/p>\n\u003Ch4>7.5. Handling Refusals and Returns\u003C/h4>\n\u003Cp>7.5.1. \u003Cstrong>Recipient Refusal (Non-Fault):\u003C/strong> If the Recipient refuses to accept the Goods for any reason other than provable destruction, damage, spoiling, loss, or theft (e.g., they change their mind), you will still be entitled to the full fee as agreed upon before you accepted the Delivery Request, as your service has been executed in full.\u003C/p>\n\u003Cp>7.5.2. \u003Cstrong>Return Procedure:\u003C/strong> In the event of a Recipient refusal, failed delivery, or inability to locate or contact the Recipient at the Delivery Address, you should immediately follow the automated return instructions provided in the Application and return the Goods directly to the original Collection Address. Where automated instructions are not available, you should contact Stuart immediately via the Application for instructions. You are required to return the Goods to the Collection Address, and Stuart will pay you an additional fee for executing the return service, as communicated via the Application.\u003C/p>\n\u003Cp>7.5.3. \u003Cstrong>Age-Restricted or Regulated Goods and Failed Delivery Returns:\u003C/strong> Where a Delivery Request includes age-restricted or regulated Goods and the Recipient fails or refuses the required verification, or where the Recipient is unavailable or uncontactable after reasonable attempts, you must not leave the Goods unattended, with a third party, or in a safe place. The entire order must be returned directly to the original Collection Address in accordance with Clause 7.5.2.\u003C/p>\n\u003Cp>7.5.4. \u003Cstrong>Unauthorized Disposal:\u003C/strong> You must not dispose of or keep any Goods without express written instructions from Stuart via the Application or support team. Unauthorized disposal or retention of Goods will be treated as loss, theft, or conversion of Goods due to your fault under Clause 7.4.1 and Clause 8.2.2(b).\u003C/p>\n\u003Ch3>Section 8: Insurance and Liability\u003C/h3>\n\u003Cp>This section explains your responsibilities for insurance and who is responsible if something goes wrong.\u003C/p>\n\u003Ch4>8.1. Your Insurance Obligations\u003C/h4>\n\u003Cp>8.1.1. \u003Cstrong>Mandatory Insurance:\u003C/strong> You are solely responsible for taking out and maintaining all necessary and legally required insurance to operate your independent business. This includes, but is not limited to, Motor Vehicle Insurance (with commercial/hire & reward cover), Public Liability, and any insurance covering the Goods while in your care (Goods in Transit Insurance). You must promptly provide evidence of valid insurance upon request by Stuart.\u003C/p>\n\u003Cp>8.1.2. \u003Cstrong>No Stuart Financial Contribution:\u003C/strong> Stuart shall not be liable for any compensation or financial contribution regarding your insurance costs or any damage caused to your Method of Transport.\u003C/p>\n\u003Cp>8.1.3. \u003Cstrong>Collective Benefits Policy:\u003C/strong> You may benefit from the Collective Benefits Policy (a framework accident insurance negotiated by Stuart), to the extent made available by Stuart and subject to its terms, provided you do not hold duplicate coverage.\u003C/p>\n\u003Ch4>8.2. Indemnity and Liability\u003C/h4>\n\u003Cp>8.2.1. \u003Cstrong>Your Liability to Stuart:\u003C/strong> You shall indemnify, defend, and hold Stuart harmless against any loss or damage (including legal costs) which Stuart may sustain or incur due to third-party claims resulting from your negligence, fraud, material breach of this Agreement, non-compliance by you (or your Substitute) with applicable regulations, or any other criminal activity. This includes, but is not limited to:\u003C/p>\n\u003Cp>(a) Third-party personal injury or property damage caused by your (or your Substitute's) negligence or misconduct during a Delivery of Goods.\u003Cbr>(b) Traffic, parking, or motoring violations incurred by you or your Substitute.\u003Cbr>(c) Any provision of false, forged, or fraudulent Right to Work, identity, or background documentation for yourself or a Substitute that results in civil penalties or fines issued to Stuart by any government authority (including the Home Office).\u003Cbr>(d) Any material breach by you (or your Substitute) of applicable laws, data protection obligations (Schedule 1), or this Agreement.\u003C/p>\n\u003Cp>For the avoidance of doubt, claims relating solely to physical damage, loss, or destruction of Goods during transit shall be governed exclusively by the liability limits set out in Clause 8.2.2(a).\u003C/p>\n\u003Cp>8.2.2. \u003Cstrong>Limit on Liability for Goods:\u003C/strong>\u003C/p>\n\u003Cp>(a) Subject to Clause 8.2.2(b), 8.2.3 and 8.2.5, your total liability to Stuart for physical damage, loss or destruction of Goods during a Delivery of Goods is limited to a maximum of £500 per incident (or the original value of the Goods, whichever is lower). For the avoidance of doubt, this cap applies exclusively to the value of the Goods and shall not apply to or limit any indemnity obligations set out in Clause 8.2.1. You shall not be liable for loss or damage to Goods resulting from factors outside your control, including a Force Majeure Event, fault of the Client or Recipient, inherent defect of the Goods, or insufficient packaging.\u003Cbr>(b) \u003Cstrong>Uncapped Liability for Intentional Misconduct, Theft, and Gross Negligence:\u003C/strong> The cap on liability set out in Clause 8.2.2(a) shall not apply in cases of theft, intentional damage, gross negligence, criminal conversion, or willful misappropriation of Goods committed by you or your Substitute. In such cases, your liability to Stuart shall be uncapped and equal to the full replacement value of the stolen Goods, together with any direct operational costs incurred by Stuart as a result.\u003C/p>\n\u003Cp>8.2.3. Subject to Clause 8.2.5, neither party shall be liable to the other under or in connection with this Agreement (whether in contract, tort including negligence, breach of statutory duty, or otherwise) for any indirect, special, incidental, or consequential loss or damage, including loss of profit, loss of business, loss of revenue, loss of goodwill, or loss of anticipated savings.\u003C/p>\n\u003Cp>8.2.4. \u003Cstrong>Limitation of Stuart's Liability:\u003C/strong> Subject to Clause 8.2.3 and Clause 8.2.5, Stuart's total aggregate liability to you arising out of or in connection with this Agreement, the Application, or any Deliveries (whether in contract, tort including negligence, breach of statutory duty, or otherwise) shall be limited to the total Fees paid or payable by Stuart to you in the three (3) months preceding the event giving rise to the claim.\u003C/p>\n\u003Cp>8.2.5. \u003Cstrong>Statutory Exclusions:\u003C/strong> Nothing in this Agreement shall exclude or limit the liability of either party for:\u003C/p>\n\u003Cp>(a) Death or personal injury caused by negligence;\u003Cbr>(b) Fraud or fraudulent misrepresentation; or\u003Cbr>(c) Any other liability that cannot be excluded or limited under applicable law.\u003C/p>\n\u003Ch3>Section 9: Termination of the Agreement\u003C/h3>\n\u003Cp>This section explains how this Agreement can be ended by either you or Stuart.\u003C/p>\n\u003Ch4>9.1. Right to Terminate\u003C/h4>\n\u003Cp>9.1.1. \u003Cstrong>Termination by Stuart:\u003C/strong> Stuart may end this Agreement immediately if:\u003C/p>\n\u003Cp>(a) You or your Substitute commit a material breach of this Agreement;\u003Cbr>(b) You or your Substitute engage in, attempt, or collude in any fraudulent activity, including fake orders, false delivery completions, GPS manipulation, or unearned fee harvesting under Clause 4.2.4;\u003Cbr>(c) Your self-employed status changes;\u003Cbr>(d) You fail to maintain mandatory insurance; or\u003Cbr>(e) You or your Substitute fail to successfully complete, pass, or maintain mandatory Right to Work checks, criminal record/background checks, or identity re-verifications, or where Stuart knows or has reasonable cause to believe that you or your Substitute are disqualified from working in the UK by reason of immigration status or criminal conviction.\u003C/p>\n\u003Cp>9.1.2. \u003Cstrong>Termination by Independent Courier (You):\u003C/strong> You may end this Agreement at any time by simply stopping your use of the Application and notifying Stuart in writing (email being sufficient).\u003C/p>\n\u003Ch4>9.2. Consequences of Termination\u003C/h4>\n\u003Cp>Upon termination, Stuart will pay all earned Fees. Clauses concerning responsibility, liability, and tax obligations will continue to apply.\u003C/p>\n\u003Ch3>Section 10: Confidentiality\u003C/h3>\n\u003Ch4>10.1. Confidential Information\u003C/h4>\n\u003Cp>10.1.1. You acknowledge that during your engagement with Stuart, you will have access to \"Confidential Information,\" which includes, but is not limited to:\u003C/p>\n\u003Cp>(a) Personal data of end-customers and Recipients (names, addresses, phone numbers);\u003Cbr>(b) Commercially sensitive information regarding Stuart's Clients (e.g., internal processes or delivery volumes);\u003Cbr>(c) Proprietary information about the Application and its algorithms.\u003C/p>\n\u003Cp>10.1.2. \u003Cstrong>Non-Disclosure:\u003C/strong> You agree to keep all Confidential Information strictly confidential and shall not disclose it to any third party without Stuart's prior written consent. This obligation continues even after your Account is closed or this Agreement is terminated.\u003C/p>\n\u003Cp>10.1.3. \u003Cstrong>Permitted Use:\u003C/strong> You may only use Confidential Information for the sole purpose of performing the Deliveries of Goods accepted through the Application. You must not use this information for any other purpose, including your own commercial gain or that of a third party.\u003C/p>\n\u003Cp>10.1.4. \u003Cstrong>Security:\u003C/strong> You must take all reasonable steps to protect Confidential Information from unauthorized access or theft. If you become aware of any data breach or unauthorized disclosure of customer information, you must notify Stuart immediately via the Application or the support team.\u003C/p>\n\u003Ch3>Section 11: Data Protection\u003C/h3>\n\u003Ch4>11.1. Data Processing Agreement\u003C/h4>\n\u003Cp>11.1.1. The parties acknowledge that in relation to the processing of Personal Data (as defined in the Data Protection Legislation) performed under this Agreement, Stuart is the Controller and You are the Processor. You agree to comply with the provisions set out in Schedule 1 (Data Processing Agreement), which is attached to and forms an integral part of this Agreement.\u003C/p>\n\u003Cp>11.1.2. \u003Cstrong>Independent processing:\u003C/strong> Nothing in this Agreement prevents you from processing Personal Data as an independent controller for your own business purposes unrelated to the Deliveries of Goods. However, such independent processing must use data obtained independently by you and must not involve any Personal Data obtained from Stuart or processed under this Agreement. Any independent processing falls outside the scope of this Agreement and Schedule 1, and you remain solely responsible for complying with all applicable Data Protection Legislation in respect of that processing.\u003C/p>\n\u003Ch3>Section 12: Governing Law and Jurisdiction\u003C/h3>\n\u003Ch4>12.1. Governing Law and Jurisdiction\u003C/h4>\n\u003Cp>12.1.1. This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.\u003C/p>\n\u003Cp>12.1.2. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.\u003C/p>\n\u003Ch2>SCHEDULE 1: DATA PROCESSING AGREEMENT\u003C/h2>\n\u003Ch3>1. Scope and definitions\u003C/h3>\n\u003Cp>1.1. \u003Cstrong>Role of parties:\u003C/strong> The parties acknowledge that for the purposes of the Data Protection Legislation, Stuart is the Controller and You (the Independent Courier) are the Processor.\u003C/p>\n\u003Cp>1.2. \u003Cstrong>Subject matter:\u003C/strong> The subject matter of the processing is the performance of the Deliveries of Goods under the Agreement.\u003C/p>\n\u003Cp>1.3. \u003Cstrong>Duration:\u003C/strong> The processing shall continue for the duration of the Agreement or until the Independent Courier's Account is closed.\u003C/p>\n\u003Cp>1.4. \u003Cstrong>Nature and purpose:\u003C/strong> The processing is limited to the collection, storage, and use of Personal Data solely for the purpose of executing Deliveries of Goods in accordance with Stuart's instructions via the Application.\u003C/p>\n\u003Cp>1.5. \u003Cstrong>Categories of data:\u003C/strong> Name, address, telephone number, access codes, and delivery instructions of Recipients, and potential Personal data of Clients' staff (e.g., contact at Collection Address).\u003C/p>\n\u003Cp>1.6. \u003Cstrong>Definitions:\u003C/strong> Data Protection Legislation refers to the UK GDPR, the Data Protection Act 2018, and any other applicable laws and regulations relating to the processing of Personal Data and privacy in the United Kingdom, as amended or replaced from time to time. All capitalised terms used in this Agreement which relate to data protection and privacy shall have the meaning given to them in the Data Protection Legislation, unless expressly defined otherwise in this Agreement.\u003C/p>\n\u003Ch3>2. Obligations of the Processor\u003C/h3>\n\u003Cp>You, acting as a Processor, agree to:\u003C/p>\n\u003Cp>2.1. \u003Cstrong>Documented Instructions:\u003C/strong> Process Personal Data only on documented instructions from Stuart, which are provided automatically via the Application (e.g., acceptance of a Delivery Request) or through specific support communications. You must immediately inform Stuart if you believe an instruction infringes Data Protection Legislation.\u003C/p>\n\u003Cp>2.2. \u003Cstrong>Confidentiality:\u003C/strong> Ensure that any person authorized to process Personal Data (including yourself and any lawful Substitute) has committed themselves to confidentiality or is under an appropriate statutory obligation of confidentiality.\u003C/p>\n\u003Cp>2.3. \u003Cstrong>Security measures (Article 32):\u003C/strong> Implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including:\u003C/p>\n\u003Cp>(a) Keeping your Device (smartphone/tablet) locked with a passcode or biometric security when not in use;\u003Cbr>(b) Not leaving the Device unattended while the Application is logged in;\u003Cbr>(c) Ensuring the Application is only accessed via secure connections;\u003Cbr>(d) Not taking screenshots, making physical copies, or sharing Recipient or Client Personal Data (including customer contact details or delivery addresses) with any unauthorized third party, unless strictly required within the Application for proof of delivery.\u003C/p>\n\u003Cp>You shall ensure that any Substitute engaged as a sub-processor is bound by written terms which impose data protection obligations no less protective than those set out in this Schedule.\u003C/p>\n\u003Cp>2.4. \u003Cstrong>Sub-processing (Substitutes):\u003C/strong>\u003C/p>\n\u003Cp>2.4.1. \u003Cstrong>Standing general authorization:\u003C/strong> To ensure the effective exercise of your Right to Substitute under the Agreement, Stuart hereby grants you general written authorization to engage Substitutes as sub-processors of Personal Data under UK GDPR Article 28(2). This authorization is conditional upon the Substitute registering a linked Sub-Account and successfully completing the identity, background, and Right to Work checks set out in Clauses 3.2.2 to 3.2.4 prior to accessing any Recipient Personal Data or executing Deliveries of Goods, which automated process constitutes notice and satisfaction of Article 28(2) conditions.\u003C/p>\n\u003Cp>2.4.2. \u003Cstrong>Alignment with main agreement:\u003C/strong> The parties agree that this authorization satisfies the requirement of Article 28(2) of the UK GDPR without requiring specific prior approval for each individual Substitute, consistent with Clause 3.2.1 of the Agreement.\u003C/p>\n\u003Cp>2.4.3. \u003Cstrong>Right to object:\u003C/strong> Stuart reserves the right to object to a Substitute (and revoke access) only if Stuart determines, acting reasonably, that the Substitute does not meet the objective criteria set out in Clauses 3.2.2 to 3.2.4 or poses a security risk to the Personal Data.\u003C/p>\n\u003Cp>2.5. \u003Cstrong>Assisting the Controller:\u003C/strong>\u003C/p>\n\u003Cp>2.5.1. \u003Cstrong>Data subject rights:\u003C/strong> Taking into account the nature of the processing, assist Stuart by appropriate technical and organizational measures, insofar as this is possible, for the fulfilment of Stuart's obligation to respond to requests for exercising the data subject's rights (e.g., if a Recipient asks to correct their address or delete their data). You shall not respond directly to any data subject request without Stuart's prior written instruction, unless required by law.\u003C/p>\n\u003Cp>2.5.2. \u003Cstrong>Breach notification:\u003C/strong> Notify Stuart without undue delay (and in any event within 24 hours) after becoming aware of a Personal Data Breach.\u003C/p>\n\u003Cp>2.6. \u003Cstrong>Deletion or return:\u003C/strong> Upon completion of a specific Delivery of Goods, you must delete any Personal Data stored outside of the Application (e.g., temporary notes, navigation history) unless applicable UK law requires storage of the Personal Data. Upon termination of the Agreement, you must securely delete all copies of Stuart's Personal Data.\u003C/p>\n\u003Cp>2.7. \u003Cstrong>Audit rights:\u003C/strong> Make available to Stuart all information necessary to demonstrate compliance with this Schedule and allow for and contribute to audits, including inspections, conducted by Stuart or an auditor mandated by Stuart.\u003C/p>\n\u003Ch3>3. International transfers\u003C/h3>\n\u003Cp>You shall not transfer Personal Data to any country outside the UK without Stuart's prior written
